A management buy-Out (MBO) is the purchase of a company through its own management. A Management Buy-In (MBI), on the other hand, is the take-over of a company through (third-party) managers. A combination of MBO and MBI is possible, too. In a case like this in-house and third-party managers take over the company together.
Since the managers taking over are only able to invest a very limited amount of equity capital a take-over is usually financed with a large percentage of debt capital. This is called a leveraged buy-out (LBO).
